These Terms of Service govern your access to and use of the Openvalleymap website and advisory services. By using the site, submitting inquiries, or engaging our advisory services, you agree to these terms. If you are entering into a separate engagement agreement with Openvalleymap, that agreement governs the relationship and, to the extent it conflicts with these terms, the engagement agreement controls. Services and deliverables
Openvalleymap provides strategic investment planning services that may include workshops, prioritized roadmaps, scenario modeling, governance playbooks, and implementation support. Deliverables are described in proposals or engagement letters and are tailored to each client. We strive to provide accurate analyses and practical outputs, but the nature of strategic planning means results depend on data quality, assumptions, and client execution. We do not guarantee specific investment outcomes, returns, or performance. Any projections or illustrative models are for planning purposes and should not be interpreted as promises. Clients are responsible for decisions made based on our work. When engagement agreements are signed, those documents will set the scope, timelines, responsibilities, deliverables, and an acceptance process. We reserve the right to decline or pause work if information provided is insufficient to proceed or if conditions present unacceptable legal or ethical risk. Clients agree to provide timely access to required personnel and documents, and to cooperate in good faith so we can fulfill deliverables.
Fees, billing, and refunds
Fees for services are set out in proposals or engagement letters and may include fixed fees, milestone billing, or hourly rates depending on scope. Payment terms, invoicing schedules, and accepted payment methods will be specified in the engagement document. Unless otherwise agreed, invoices are due within the stated period and overdue amounts may incur interest at the rate described in the engagement agreement or the maximum permitted by law. Clients are responsible for any taxes related to services. Refunds are handled per the engagement agreement; generally, fees are applied to work performed and reasonable efforts will be made to agree an equitable resolution if engagements are terminated early. If a dispute arises over billing, both parties agree to engage in good faith to resolve the issue promptly. We reserve the right to suspend services for materially overdue invoices after notice. Any expenses incurred on behalf of the client will be billed as agreed in advance or as set out in the engagement terms.
Confidentiality, intellectual property, and data
We treat client information provided during engagements as confidential and will not disclose it except as authorized by the client or required by law. Clients grant Openvalleymap a license to use information necessary to deliver services and to perform internal analytics in anonymized form. Intellectual property rights for materials we create and deliver will be specified in the engagement agreement. Typically, Openvalleymap retains ownership of proprietary methodologies, frameworks, templates, and tools, while clients receive a license to use final deliverables for their internal purposes. When clients supply materials, they warrant they have rights to share and permit use for the engagement. We implement reasonable technical and organizational measures to protect data. Limitation of liability and indemnity
To the fullest extent permitted by law, Openvalleymap disclaims indirect, incidental, consequential, and punitive damages arising from the use of our site or services. Our aggregate liability for direct damages arising from services is limited to fees paid to Openvalleymap under the relevant engagement in the twelve months preceding the claim, unless otherwise agreed in writing. Clients agree to indemnify Openvalleymap against third-party claims resulting from client-provided data or from client actions based on deliverables. Nothing in these Terms limits liability for gross negligence, willful misconduct, or other liabilities that cannot be limited under applicable law. Clients should consider purchasing appropriate insurance for professional and operational risks. These allocations are intended to reflect a fair distribution of risk given the nature of advisory services and the fees charged for them.
Governing law and dispute resolution
These Terms and any services provided by Openvalleymap are governed by the laws of the State of California, USA, without regard to conflict of law rules. Parties will attempt to resolve disputes informally through good faith negotiations. If negotiation does not resolve a dispute, the parties may pursue mediation before resorting to litigation. Subject to any mandatory jurisdictional requirements, courts located in San Francisco County, California will have exclusive jurisdiction for legal actions that are not stayed by mediation or arbitration provisions in a specific engagement agreement. This section does not prevent either party from seeking urgent interim relief in a court of competent jurisdiction if necessary to protect rights or property pending resolution of the dispute.
Changes, termination, and contact
We may update these Terms from time to time. Material changes will be posted on this page and will include an updated effective date. Continued use of the site or services after changes constitutes acceptance. Either party may terminate an engagement in accordance with the engagement agreement.
